AGREEMENT BETWEEN USER AND FOUNDERSCLICK INC
1. Acceptance Of Terms
FoundersClick Inc ("Company") provides an online platform through its Web Site ("Site") to its users who are subject to the following Terms of Use ("Terms"). This document may be updated by FoundersClick Inc ("Company") on its Site from time to time. By your usage of the Site and its Services ("Service"), you agree to these Terms as they currently exist and as they may be amended in the future.
2. Modification Of These Terms Of Use
FoundersClick Inc reserves the right to change the terms, conditions, and notices under which FoundersClick Inc's Site and Service are offered including but not limited to any payments associated with the use of the FoundersClick Inc Web Site. FoundersClick Inc Site is offered to you, conditioned on your implicit acceptance without modification of the terms, conditions, and notices contained herein. Your use of the FoundersClick Inc Site constitutes your full agreement to all such terms, conditions, and notices. Should you object to any term or condition of these Terms, any policies or guidelines, or any subsequent modifications thereto or become dissatisfied with FoundersClick Inc in any way, your only recourse is to immediately discontinue use of FoundersClick Inc site.
Changes to the Service: We're constantly modifying and improving the Service. FoundersClick Inc. may introduce new features, change existing features, or remove features from the Service at any time and without notice. If you provide the Company with any feedback on or comments regarding the Service, you grant the Company the right to use such feedback, ideas, or comments for any purpose without restriction or payment to you.
3. Ownership Of The Service
FoundersClick Inc. retains all rights including intellectual property rights, title and interest in the Site, any mobile application(s), Service, technology, Company's emails and databases, and all underlying technology and data, including any enhancements and improvements thereto as a result of providing the Service hereunder. As between FoundersClick and the user, FoundersClick also retains all rights in and to any technology, data, or software licensed by FoundersClick Inc. for use in the Service.
Creating an Account: In order to use the Service, you may need to create a user account. You agree that you are responsible for all activities that take place on or using your account and that you will take precautions to keep your password and other account information secure. You also agree that you will comply with all applicable laws when accessing or using the Service and you will respect those who you encounter in your use of the Service, including businesses and all other users. The Company reserves the right to terminate an account at any time in its sole discretion. Your user account is for your personal, non-commercial use only. We ask that you provide complete and accurate information about yourself when creating a user account in order to bolster your credibility as a contributor to the Service. You may not impersonate someone else, provide an email address other than your own.
Uploading Content: Some parts of the Service may allow you to upload or submit content (such as text listings, profiles and posts, and responses to blogs, discussions comments polls, ratings, images, links, and other materials). Note that some data you submit will have to first be approved by Company before they are published on its Site. FoundersClick Inc. retains the sole and absolute discretion to reject data entered for any reason whatsoever. You retain all rights to any content that you upload or submit, and are solely responsible for that content. You grant FoundersClick Inc. a non-exclusive, royalty-free, worldwide, transferable, sub-licensable license to use, store, reproduce, modify, create derivative works from, and distribute any such content for the purposes of operating, providing, and improving the Service. You represent and warrant that the data you post and share reflect your true and honest opinions and do not include false information. FoundersClick Inc. may, in its sole discretion, remove or take-down any content that you upload or submit to the Service for any reason, including violation of these Terms or any other policies. Note that user content does not reflect the opinion of FoundersClick Inc.
You understand that all postings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. More specifically, you are entirely responsible for all Content that you post, email, or otherwise make available via the Service.
You understand that while FoundersClick Inc will randomly monitor what is being posted, it does not control, and is not responsible for Content made available through the Service and that by using the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. Furthermore, FoundersClick Inc site and Content available through the Service may contain links to other websites, which are completely independent of FoundersClick Inc. FoundersClick Inc makes no representation or warranty as to the accuracy, completeness, or authenticity of the information contained in any such site. If you link to other websites, you do so at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will FoundersClick Inc be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Service.
You acknowledge that FoundersClick Inc does not always pre-screen or pre-approve Content, but that FoundersClick Inc shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for any reason or no reason, at any time. We reserve the right to remove, edit, or reinstate user content at our sole discretion for any reason or no reason, and without notice to you. For example, we may remove a post if we believe it violates our Content Guidelines (detailed below).
4. Content
Content Guidelines: Please ensure that your use of the Site and the data you post and the opinions you share are constructive in nature to other users. We encourage you to provide information that will be helpful to users when they are seeking solutions to their requirements. Please refrain from using offensive or derogatory language towards Company and its users.
The following content is not permitted on the Service:
- Inappropriate content: You may not engage in any threats, harassment, lewdness, and hate speech, or other displays of bigotry.
- Conflicts of interest: Your contributions should be unbiased and objective.
- Promotional content: You may not post any promotional content and spam material to your network group or to any user. You can sign up for any specific Service offered by Company to connect with other users.
- False content: You may not engage in willful dissemination of information that is considered false. If you unknowingly post any data that is inaccurate, it is your responsibility to correct it and/or remove it promptly when come aware of the inaccuracies through any means including but not limited to by other users. Note that you are entirely and totally responsible for any consequences that result from the content you post.
- Intellectual property: Don't copy or reproduce the content of others without their consent.
- Privacy: You may not publicize other people's private or personal information. You may not post close-up photos or videos of other patrons without their permission, and you may not post other people's full names unless you're referring to service providers who are commonly identified by or commonly share their own full names.
- No Unlawful or Prohibitive Use: As a condition of your use of the FoundersClick Inc Web Site, you warrant to FoundersClick Inc that you will not use the FoundersClick Inc Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use FoundersClick Inc Web Site in any manner, which could damage, disable, overburden, or impair FoundersClick Inc Web Site or interfere with any other party's use and enjoyment of the FoundersClick Inc Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the FoundersClick Inc Web Site. FoundersClick Inc reserves the right of final decision on the display of content on its site.
5. Links To Third Party Sites
FoundersClick Inc Web Site may contain links to other Web Sites - Sponsored Links and Site Links. These external links are not under the control of FoundersClick Inc and FoundersClick Inc is not responsible for the contents of any of these Site Links, including without limitation any link contained in the sites associated with these links, or any changes or updates to a Linked Site. FoundersClick Inc is not responsible for webcasting or any other form of transmission received from any Linked Site. FoundersClick Inc is providing these links to you only as a convenience to its users, and the inclusion of any link does not imply endorsement by FoundersClick Inc of the site or any association with its operators.
Third-Party Content and Disputes
You agree that the Company could facilitate connections to other users and businesses through its Service per your request and consent, but does not assume any responsibility for any content, products, services, websites, advertisements, offers, or information regarding third parties such as alliances, partners, suppliers or any user and businesses that is made available through the Service. If you purchase, use, interact with or access (whether online or offline) services, products, content, advertisements, offers, or information from or relating to any third parties, (including recommending or endorsing any of businesses on the Company's website) you agree that you do so at your own risk and that FoundersClick will have no liability based on such interaction, access, use or purchase.
Further, any dispute you have with any third party in connection with your use of the Service is directly between you and such third party. ACCORDINGLY, TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY IRREVOCABLY RELEASE FOUNDERSCLICK INC. FROM ANY AND ALL CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.
Independent Users and No Professional Relationship:
All users, including service providers, operate as independent individuals or entities and not as employees, agents, or representatives of FoundersClick.
FoundersClick does not provide professional, legal, medical, financial, or business advice and does not guarantee the quality, safety, legality, or outcomes of any services offered by users.
Any reliance on services or advice provided by users is at your own risk.
No Verification of User Claims:
FoundersClick does not verify, endorse, or guarantee the accuracy of any user-generated content, including profiles, credentials, advertisements, or service claims.
Users are solely responsible for verifying any information before relying on it. FoundersClick shall not be liable for any losses resulting from misleading or false representations made by users.
6. Use Of Connect Services
The FoundersClick Inc Web Site may contain bulletin board services, chat areas, news groups, discussion forums, blogs, groups and communities, personal web pages, emails, calendars, and/or other messaging or communication facilities designed to enable you to communicate with other users, partners, businesses or with a group (collectively, "Connect Services"), you agree to use Connect Services only to post, send and receive messages and material that are proper and related to the particular Connect Service.
By way of example, and not as a limitation, you agree that when using a Service related to Connect Service, you will not:
- Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

- Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's a computer.
- Advertise or offer to sell or buy any goods or services for any business purpose, unless such Connect Services specifically allows such messages.
- Conduct or forward surveys, contests, pyramid schemes, or chain letters.
- Download any file posted by another user of a Link Service that you know, or reasonably should know, cannot be legally distributed in such a manner.
- Falsify or delete any author attributions, legal or other proper notices or proprietary designations, or labels of the origin or source of software or other material contained in a file that is uploaded.
- Restrict or inhibit any other user from using and enjoying the Connect Services.
- Violate any code of conduct or other guidelines, which may be applicable for any particular Connect Service.
- Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
- Violate any applicable laws or regulations.
FoundersClick Inc has no obligation to monitor the Connect Services. However, FoundersClick Inc reserves the right to review materials posted to a Connect Service and to remove any materials at its sole discretion. The FoundersClick Inc reserves the right to terminate your access to any or all of the Link Service at any time without notice for any reason whatsoever.
FoundersClick Inc reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or to remove any information or materials, in whole or in part, in FoundersClick Inc' sole discretion.
Always use caution when giving out any personally identifying information about yourself or your children in any Connect Services FoundersClick Inc does not control or endorse the content, messages, or information found in any Connect Services and, therefore, FoundersClick Inc specifically disclaims any liability with regard to the Link Services and any actions resulting from your participation in any Link Service.
FoundersClick Inc views do not necessarily reflect those posted on its website by its members or by any of those through the Link services. For any complaints on the misuse of FoundersClick Inc, please email services@foundersclick.com.
Complaint Handling and Resolution:
FoundersClick provides mechanisms for users to report complaints including but not limited to:
- Content violations
- Abuse or harassment
- Intellectual property infringement
- Fraud or misrepresentation
Upon receiving a complaint:
- FoundersClick will acknowledge the complaint within 24 hours
- An investigation will be initiated in a reasonable timeframe
- Appropriate action will be taken based on findings
FoundersClick may, where appropriate, inform the concerned parties of actions taken. However, FoundersClick retains sole and final authority in determining the outcome of any complaint.
7. User Communications
FoundersClick Inc. provides features that enable you to interact with other users on the Service. By accessing or using the Service, you consent to receive communications from other users, through the Service, or through any other means such as emails, push notifications, text messages (including SMS and MMS), and phone calls (if you have provided such contact information to us for your account). These communications may promote the Service or Businesses listed on the Service and may be initiated by the Company, or other businesses listed on the Service, or other users. Please note that any communications, with Company or user-made through the Service may be monitored and recorded for training and/or quality assurance purposes.
If you do not wish to receive promotional emails, text messages, or other communications, you may opt-out of such communications at any time by sending us an email at services@foundersclick.com. You may also opt-out of receiving such messages.
8. Materials Provided To/Or Posted At FoundersClick Inc Website
FoundersClick Inc does not claim ownership of the materials you provide to FoundersClick Inc (including feedback and suggestions) or post, upload, input or submit to any FoundersClick Inc Web Site or its associated services (collectively "Submissions"). However, by posting, uploading, inputting, providing, or submitting your Submission you are granting FoundersClick Inc, its affiliated companies, and necessary sublicensees permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.
No compensation will be paid with respect to the use of your Submission, as provided herein. FoundersClick Inc is under no obligation to post or use any Submission you may provide and may remove any Submission at any time at FoundersClick Inc' sole discretion.
By posting, uploading, inputting, providing, or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
User Responsibility for Content Rights: Users represent and warrant that they have all necessary rights, licenses, and permissions to upload, publish, or share any content on the platform, and that such content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party. By submitting any content to the Service, you confirm that you have obtained all required consents and authorizations necessary for such submission, and you accept full legal responsibility for any claims arising from a breach of this warranty.
9. Liability Disclaimer
The information, software, products, and services included in or available through the FoundersClick Inc Site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. FoundersClick Inc, and/or its alliances and suppliers may make improvements and/or changes to the FoundersClick Inc website at any time.
Advice or any information of data received via FoundersClick Inc website should not be relied upon for personal, medical, legal, or financial decisions and you should consult an appropriate professional for specific advice tailored to your situation.
FoundersClick Inc and/or its alliances and suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained on the FoundersClick Inc web site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without warranty or condition of any kind. FoundersClick Inc and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, in no event shall FoundersClick Inc and/or its suppliers and partners be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the FoundersClick Inc web site, with the delay or inability to use the FoundersClick Inc web site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the FoundersClick Inc web site, or otherwise arising out of the use of the FoundersClick Inc web site, whether based on contract, tort, negligence, strict liability or otherwise, even if FoundersClick Inc or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the FoundersClick Inc website, or with any of these terms of use, your sole and exclusive remedy is to discontinue using FoundersClick Inc.
User Liability for Legal Claims:
You expressly agree that you shall be solely liable for any claims, demands, damages, penalties, or legal proceedings initiated by any third party arising out of:
- Content you upload or share
- Your interactions with other users
- Any services or representations made by you
FoundersClick shall not be responsible for, and you agree to fully indemnify and hold harmless FoundersClick from, any such claims, including associated legal costs.
10. Termination/Access Restriction
FoundersClick Inc Web site reserves the right, in its sole discretion, to terminate your access to the FoundersClick Inc Web Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, the Terms in this agreement is governed by the laws of the State of California U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts of California U.S.A. in all disputes arising out of or relating to the use of the FoundersClick Inc Web Site. Use of the FoundersClick Inc Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and FoundersClick Inc as a result of these Terms of the FoundersClick Inc Web Site. FoundersClick Inc' performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of FoundersClick Inc' right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the FoundersClick Inc Web Site or information provided to or gathered by FoundersClick Inc with respect to such use.
11. Services Provided As-Is And Release Of Claims
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDERSCLICK INC. DISCLAIMS ALL REPRESENTATIONS, CONDITIONS, AND WARRANTIES, EXPRESS, LEGAL, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, MERCHANTABILITY, TITLE, AND NON-INFRINGEMENT. IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDERSCLICK INC MAKES NO REPRESENTATION, WARRANTY, CONDITIONS, OR GUARANTEE (I) REGARDING THE RELIABILITY, QUALITY, SUITABILITY, ACCURACY, OR AVAILABILITY OF THE SERVICE, ANY REVIEWS, RATING, OR INFORMATION AVAILABLE ON THE SERVICE, AND ANY OTHER INFORMATION OR SERVICES PROVIDED BY FOUNDERSCLICK INC OR OTHER BUSINESS LISTED ON THE FOUNDERSCLICK INC. SITE AND SERVICE, OR (II) THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. FOUNDERSCLICK DOES NOT GUARANTEE THE AVAILABILITY, COMPETENCE, TRAINING, OR ABILITY OF ITS USERS INCLUDING BUSINESSES LISTED ON THE SERVICE. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICE, INCLUDING CONNECTING WITH ANY USER OR USING THEIR SERVICES OF ANY OTHER BUSINESSES LISTED ON THE SERVICE, REMAINS SOLELY WITH YOU.
FOUNDERSCLICK INC. DOES NOT WARRANT THAT THE SERVICE AND ANY CONTENT THEREON OR ANY MATERIALS RECEIVED THEREFROM ARE FREE OF ERRORS, COMPUTER VIRUSES, OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES. IF YOUR USE OF THE SERVICE OR ANY CONTENT THEREON OR MATERIALS RECEIVED THEREFROM RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, THEN FOUNDERSCLICK INC. WILL NOT BE RESPONSIBLE FOR THOSE COSTS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT NEITHER FOUNDERSCLICK INC. NOR ITS AFFILIATES, ALLIANCES, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY CLAIM, INJURY, OR DAMAGE ARISING IN CONNECTION WITH THE ACTS OR OMISSIONS OF USER OR BUSINESSES LISTED ON THE SERVICE.
Furthermore, you expressly waive any rights you may have under California Civil Code Section 1542 (or analogous laws of other jurisdictions), which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or she must, would have materially affected his or her settlement with the debtor or released party.
12. Limitation Of Liability
THIS PROVISION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
IN NO EVENT SHALL FOUNDERSCLICK INC (INCLUDING ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR DELETION, CORRUPTION, LOSS OF DATA, INACCURACY OF MATERIALS, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE SERVICES, SERVICE INTERRUPTIONS, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, OR THESE TERMS, HOWEVER ARISING INCLUDING NEGLIGENCE, EVEN IF FOUNDERSCLICK INC OR FOUNDERSCLICK INC'S AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL FOUNDERSCLICK INC. (INCLUDING ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, AND/OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO PHYSICAL DAMAGES, BODILY INJURY, DEATH AND/OR EMOTIONAL DISTRESS AND DISCOMFORT) ARISING OUT OF YOUR USE OF THE SERVICE EVEN IF FOUNDERSCLICK INC OR FOUNDERSCLICK INC 'AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FOUNDERSCLICK INC AND ITS AFFILIATES WILL NOT BE LIABLE FOR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES FOR MORE THAN THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO FOUNDERSCLICK INC, FOR THE PAST 12 MONTHS OF THE SERVICE.
13. Indemnification
You agree to defend, indemnify and hold harmless FoundersClick Inc. and its officers, directors, employees, agents, and affiliates (each, an "Indemnified Party") from and against any losses, claims, actions, costs, damages, penalties, fines, and expenses, including without limitation attorneys' and experts' fees and expenses, that may be incurred by an Indemnified Party arising out of, relating to or resulting from (i) your unauthorized use of the Service (ii) any breach by you of these Terms, and/or (iii) your offline activity related to your use of the Service, including without limitation any actual or alleged violation of any law, rule or regulation.
14. Termination
You can stop using the Service at any time and without notice to us. Similarly, FoundersClick Inc. may terminate access to the Service to you or any other users or stop offering all or part of the Service at any time without notice. Such termination will not relieve you of any obligations under these Terms which are expressly or by implication intended to survive termination.
15. Governing Law; Waiver Of Jury Trial
These Terms, the Service, and the transactions contemplated hereby, and all related disputes between the parties arising from or relating to these Terms shall be governed by the laws of the State of California, without reference to California's conflict of laws principles, and any related legal actions must be brought in the court of appropriate jurisdiction in the County of Santa Clara, California, which shall have exclusive jurisdiction. as the first step for any legal remedies and upon mutual consent, all claims and disputes arising under or relating to this agreement are to be first settled by a non-binding arbitration in the State of California, in a mutually agreed upon competent jurisdiction and through a mutually agreed-upon arbitrator. An award of arbitration shall be confirmed in a court of competent jurisdiction. You hereby waive any claim of lack of jurisdiction or inconvenient forum. YOU AND WE WAIVE TRIAL BY JURY IN ANY LEGAL ACTION ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. The prevailing party in any such legal action shall be entitled to an award of its reasonable legal fees and costs.
16. Entire Agreement And Severability
These Terms, subject to any amendments, modifications, or additional agreements you enter into with FoundersClick Inc, shall constitute the entire agreement between you and FoundersClick Inc. with respect to the Service and any use of the Service. If any provision of these Terms is found to be invalid by a court competent jurisdiction, that provision only will be limited to the minimum extent necessary and the remaining provisions will remain in full force and effect.
17. No Waiver
FoundersClick Inc's failure to monitor or enforce a provision of these Terms does not constitute a waiver of its right to do so in the future with respect to that provision, any other provision, or these Terms as a whole.
18. Assignment
You may not assign any of your rights, licenses, or obligations under these Terms. Any such attempt at assignment by you shall be void. FoundersClick Inc may assign its rights, licenses, and obligations under these Terms without limitation.
19. Changes To The Terms
We may make changes to these Terms from time to time. When we do so, we will post the most current version of the Terms on FoundersClick's website and, if a revision to the Terms is material, FoundersClick Inc will notify you of the new Terms (for example, on the website). Changes to these terms will not apply retroactively. Your continued use of the Site or Service is conditioned upon your acceptance of the latest version of the Terms of Service accessible on the website or the Service at the time of your use.
20. Copyright And Trademark Policy
FoundersClick Inc respects the intellectual property rights of others and has implemented a copyright and trademark policy in accordance with the Digital Millennium Copyright Act and other relevant laws. FoundersClick Inc will respond to valid notices of copyright infringement and reserves the right to terminate any users, at FoundersClick Inc's sole discretion and without notice, who repeatedly infringe copyrights or other intellectual property rights.
Note that as a user, you agree that you take full legal responsibility for any damages including and not limited to copyright infringements penalties, costs, and any other form of liability arising from any communications, material, or data you post or share on FoundersClick Site or in the use of its Services.
If you believe any content posted or made available on the Service constitutes an infringement of your copyright rights, you may send an email notice of infringement to FoundersClick Inc. designated Copyright Agent – services@foundersclick.com. In your notice, please specify the nature of the copyright infringement and include the following information: (a) an electronic or physical signature of the owner of the copyright in question or a person authorized to act on behalf of the owner of the copyright; (b) a description of the claimed infringing material as well as identification of the claimed infringing material, including the location of such material on the Service (e.g., the URL of the claimed infringing material if applicable or other means by which FoundersClick Inc may locate the material); (c) complete contact information, including the name of the owner of the copyright and your name, title, address, telephone number, and email address; (d) a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (e) a statement, made under penalty of perjury, that the information provided in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

21. Intermediary Platform Role
FoundersClick operates as an intermediary platform that enables users to create, upload, publish, and share content. FoundersClick does not initiate, create, select, modify, or endorse any content submitted by users.
All content made available on the platform is the sole responsibility of the user who originates such content. FoundersClick does not exercise editorial control over user-generated content and does not guarantee the accuracy, integrity, or legality of such content.
22. Disclosure of User Information for Legal Claims
FoundersClick may, in its sole discretion, disclose user information, including account details and content-related data, where such disclosure is reasonably necessary to:
- Comply with applicable laws, regulations, or legal processes;
- Respond to claims of intellectual property infringement, defamation, or other legal violations;
- Enforce these Terms and protect the rights, property, or safety of FoundersClick, its users, or third parties.
Such disclosures may be made without prior notice to the user where required or permitted by law. By using the Service, you expressly consent to FoundersClick sharing your information with relevant authorities, rights holders, or legal representatives under the circumstances described in this section.

23. Liability Allocation and User Responsibility
You acknowledge and agree that FoundersClick operates solely as a technology platform and intermediary, and does not create, verify, endorse, or control user-generated content, services, or interactions.
Accordingly:
(a) Content Liability:
Users are solely responsible for all content they upload, publish, or share on the platform. Any legal liability arising from such content, including but not limited to copyright infringement, defamation, privacy violations, or unlawful content, shall be borne entirely by the user who submitted the content.
(b) Transaction & Service Liability:
Any transactions, agreements, or services between users are strictly between such users. FoundersClick is not a party to such transactions and shall not be responsible for any failure, negligence, misrepresentation, or breach by any user.
(c) Misrepresentation & Fraud:
Users are solely responsible for the accuracy of any representations, claims, credentials, or advertisements made on the platform. FoundersClick shall not be liable for any losses arising from reliance on such representations.
(d) Platform Availability:
FoundersClick shall not be liable for any losses arising from downtime, service interruptions, delays, or technical issues.
(e) Legal and Financial Liability:
The user agrees to bear full responsibility for any claims, damages, penalties, fines, legal costs, or liabilities arising from their use of the platform, including violations of applicable laws or third-party rights.
Enforcement and Consequences:
In the event of a violation of these Terms or applicable policies, FoundersClick may take one or more of the following actions, at its sole discretion:
- Issue a warning or notice to the user
- Remove or restrict access to the content
- Temporarily suspend the user account
- Permanently terminate the user account
- Report the matter to relevant legal or regulatory authorities
- Cooperate with legal claims initiated by affected parties
The severity of action will depend on the nature, frequency, and impact of the violation.
Contextual Notices and User Awareness:
FoundersClick may display contextual notices, warnings, or reminders referencing specific sections of these Terms and Privacy Policy at the time of user actions, including but not limited to content uploads, interactions, or transactions.
Such notices are provided to enhance user awareness and ensure compliance. Continued use of the platform following such notices constitutes acknowledgment and acceptance of the applicable policies.
24. Media & Intellectual Property — Specific Licensing Requirements
In addition to the general content and intellectual property obligations set out in these Terms, the following specific requirements apply to all image, video, audio, and multimedia content uploaded or shared on the Platform:
24.1 — Original or Licensed Media Only
Users may only upload, post, or share images or videos that they personally created or for which they hold a valid, current license, permission, or authorization from the respective rights holder(s). Uploading, sharing, or distributing media for which you do not hold the necessary rights is strictly prohibited and constitutes a violation of these Terms and applicable intellectual property law.
24.2 — Music, Audio & Branded Content
Any music, sound recordings, audio tracks, logos, trade names, trademarks, or branded content that is visible or audible within any video or multimedia post must be properly licensed by the uploading user. Users are solely responsible for obtaining all required synchronization, master, and performance licenses for any third-party audio included in their content. Use of unlicensed copyrighted music, even incidentally as background audio, is a violation of these Terms and applicable copyright law.
24.3 — Prohibition on Unauthorized Recordings
Posting screenshots, screen recordings, audio recordings, or video recordings of other persons' private or semi-private communications — including but not limited to video calls, virtual meetings, webinars, private live streams, or online events — without the explicit, prior, written consent of all participants is strictly prohibited. This prohibition applies regardless of whether such content was originally accessed lawfully. Violation of this clause may also constitute a breach of applicable privacy laws, wiretapping statutes, and electronic communications regulations.
24.4 — Third-Party Trademarks, Artwork & Copyrighted Materials
Users must not upload or share any image or video that contains, displays, or features third-party trademarks, logos, copyrighted artwork, posters, signage, illustrations, or other protected visual elements — whether as the subject of the content or incidentally visible in the background — unless the user has obtained express written clearance from the applicable rights holder(s). It is the user's sole responsibility to secure all necessary permissions prior to posting.
24.5 — User Representations for Media Uploads
By uploading or posting any media content on the Platform, the user expressly represents and warrants that:
- The user owns or holds all necessary rights, licenses, and permissions for all media elements contained in the upload;
- The upload does not infringe, misappropriate, or violate any copyright, trademark, privacy right, publicity right, or any other proprietary right of any third party;
- All required clearances for music, audio, visual artwork, trademarks, and identifiable persons depicted in the content have been obtained; and
- The content complies with all applicable laws and these Terms.
24.6 — Consequences of Violation
FoundersClick reserves the right to remove any media content that it reasonably believes violates this Section, without prior notice. Repeated or egregious violations may result in account suspension or permanent termination. FoundersClick may also cooperate with rights holders and law enforcement authorities in connection with any claimed infringement.
25. Digital Millennium Copyright Act (DMCA) — Formal Takedown & Counter-Notification Procedure
FoundersClick Inc. respects intellectual property rights and complies with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"). FoundersClick Inc. maintains a Designated Copyright Agent with the United States Copyright Office and has adopted the following formal procedures for receiving, processing, and responding to notices of claimed copyright infringement.
25.1 — Safe Harbor Statement
FoundersClick operates as an online service provider within the meaning of 17 U.S.C. § 512(k)(1)(B) and qualifies for the safe harbor protections provided thereunder. FoundersClick does not actively monitor all user-generated content but will respond expeditiously to valid notices of alleged copyright infringement received in accordance with this Section.
25.2 — DMCA Designated Copyright Agent
FoundersClick has registered a Designated Agent with the U.S. Copyright Office to receive notifications of claimed copyright infringement. All DMCA notices must be directed to FoundersClick's Designated Copyright Agent:

25.3 — Filing a DMCA Takedown Notice (Notice of Claimed Infringement)
If you believe that content on the Platform infringes your copyright, you may submit a formal takedown notice to the Designated Copyright Agent. To be valid under 17 U.S.C. § 512(c)(3), your notice must include all of the following:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work(s) claimed to have been infringed (or, if multiple works are covered by a single notification, a representative list of such works);
- Identification of the allegedly infringing material and information reasonably sufficient to permit FoundersClick to locate the material on the Platform (e.g., the specific URL);
- Your contact information, including your full name, mailing address, telephone number, and email address;
- A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
Incomplete or non-compliant notices may not be acted upon. Submitting a materially false or misleading takedown notice may expose you to legal liability under 17 U.S.C. § 512(f), including an award of damages and attorneys' fees against you.
25.4 — FoundersClick's Response to Valid Takedown Notices
Upon receipt of a valid DMCA takedown notice, FoundersClick will, in accordance with 17 U.S.C. § 512:
- Expeditiously remove or disable access to the allegedly infringing content;
- Notify the user who posted the content that their material has been removed or disabled; and
- Provide the user with a copy of the takedown notice and information regarding their right to submit a counter-notification.
25.5 — DMCA Counter-Notification Procedure
If you are a user whose content was removed or disabled in response to a DMCA notice and you believe the removal was the result of mistake or misidentification, you may submit a formal counter-notification to the Designated Copyright Agent. Your counter-notification must include:
- Your physical or electronic signature;
- Identification of the content that was removed or disabled and the location at which it appeared before removal (e.g., the URL);
- A statement under penalty of perjury that you have a good faith belief that the content was removed or disabled as a result of a mistake or misidentification of the material;
- Your full name, mailing address, and telephone number; and
- A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which FoundersClick may be found), and that you will accept service of process from the person who provided the original takedown notice or their agent.
Upon receipt of a valid counter-notification, FoundersClick will notify the original complainant and may restore the removed content within 10–14 business days, unless the complainant files a court action seeking to restrain the user from infringing activity prior to that time.
25.6 — Repeat Infringer Policy
In accordance with 17 U.S.C. § 512(i), it is FoundersClick's policy to terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of copyright or other intellectual property rights. FoundersClick reserves the right to define "repeat infringement" in its sole discretion and to take action without prior notice.
25.7 — No Obligation to Restore Content
FoundersClick has no obligation to restore content that has been removed in response to a valid DMCA takedown notice. Restoration is subject to the counter-notification process described in Section 25.5 and FoundersClick's sole discretion.
25.8 — User Content Responsibility & IP Warranty
You acknowledge, agree, and represent that you are solely and fully responsible for any content you upload, post, transmit, or otherwise make available through the platform. You represent and warrant that you possess all necessary rights, licenses, consents, and permissions to use and to authorize the platform to use such content, and that the content does not infringe, violate, misappropriate, or otherwise breach any intellectual property rights or other proprietary or personal rights of any third party, including but not limited to copyright, trademark, patent, or trade secret rights.
26. Inappropriate Content — Definitions, Removal Rights & Consequences
FoundersClick is a professional networking and business community platform. All members are expected to maintain a standard of respectful, lawful, and professional conduct at all times. This section defines what constitutes inappropriate content, the platform’s rights regarding such content, and the consequences members may face for violations.
26.1 — Definition of Inappropriate Content
Inappropriate content includes, but is not limited to, any material that:
- Is obscene, pornographic, sexually explicit, or offensive to reasonable community standards;
- Is hateful, abusive, threatening, harassing, defamatory, or discriminatory based on race, ethnicity, religion, gender, sexual orientation, disability, nationality, or any other protected characteristic;
- Depicts or promotes violence, self-harm, terrorism, or illegal activity of any kind;
- Infringes upon any third party’s intellectual property rights, including but not limited to copyright, trademark, patent, or trade secret;
- Contains unsolicited advertising, spam, pyramid schemes, or fraudulent offers;
- Involves the unauthorized use of another person’s personal information or identity (impersonation);
- Contains malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system or data.
26.2 — Platform’s Right to Remove Content
FoundersClick reserves the absolute right, at its sole discretion and without prior notice, to:
- Remove, edit, restrict, or disable access to any content that it reasonably believes violates these Terms or our Community Standards;
- Suspend or permanently terminate any account found to be in violation of these Terms;
- Report any illegal content or activity to the appropriate law enforcement or regulatory authorities.
26.3 — Consequences for Policy Violations
Violations of our content policies may result in one or more of the following actions, applied at FoundersClick’s sole discretion based on the severity and frequency of the violation:
- First Violation: Immediate content removal and a formal written warning issued to the member;
- Repeated or Serious Violations: Temporary suspension of posting privileges or full account suspension;
- Severe Violations: Permanent account termination without refund of any paid subscriptions, credits, or fees;
- Legal Action: For violations involving illegal content, identity theft, fraud, or harassment, FoundersClick reserves the right to pursue civil or criminal legal remedies and to cooperate fully with law enforcement.
26.4 — Residual Enforcement (Catch-All)
Content not expressly prohibited under Section 26.1 may nonetheless be deemed inappropriate at FoundersClick’s sole discretion if such content undermines the integrity, safety, reputation, or lawful operation of the Platform. FoundersClick reserves the right to remove, restrict, or take action against any such content without prior notice.
26.5 — Content Takedown Procedures & Notice
FoundersClick may remove, restrict, disable, or otherwise take action against content it reasonably believes constitutes Inappropriate Content or violates these Terms. Where the Platform administrator deems it appropriate and feasible, FoundersClick may notify the affected member of the removal and the general reason for the action. However, FoundersClick is under no obligation to provide prior notice before removing content, particularly where:
- Immediate action is required to prevent harm;
- The content poses a legal, security, or regulatory risk; or
- Prior notice could compromise enforcement or an ongoing investigation.
26.6 — No Liability for Enforcement Actions
FoundersClick shall not be liable for any damages, losses, or consequences arising from content removal, account suspension, termination, or any other enforcement action taken in good faith under these Terms. Members acknowledge that enforcement decisions involve contextual judgment and that the Platform’s determinations may differ from the member’s own interpretation. No enforcement action taken in good faith shall give rise to any claim against FoundersClick.
26.7 — Platform Discretion & Final Decision Authority
FoundersClick retains the exclusive and final right to determine, in its sole discretion, what content is displayed, made available, restricted, or removed on the Platform. The Platform is not obligated to publish, host, maintain, or continue displaying any user-generated content. FoundersClick may remove or decline to display content at any time, with or without notice, regardless of whether such content is otherwise lawful or acceptable to the member. No action or inaction by the Platform shall be deemed to create any obligation to host or display any particular content, and access to the Platform does not confer any right or entitlement to have content published or maintained.
27. Member Complaint Process & 24-Hour Response Commitment
FoundersClick is committed to maintaining a safe, trustworthy, and professional community. We take all member complaints seriously and are dedicated to timely and fair resolution of reported issues.
27.1 — How to File a Complaint
Members may report content, users, or conduct that violates these Terms by using the Report button available on every post, profile, comment, or piece of content on the platform. Members may also contact our Trust & Safety team directly at support@foundersclick.com.
27.2 — Our 24-Hour Commitment
FoundersClick commits to the following response standards:
- All reports submitted through the platform will be reviewed by our Trust & Safety team within 24 hours of receipt;
- Both the reporting member and the reported member will be notified of the outcome and any action taken;
- In cases involving serious violations (e.g., threats of violence, illegal content, harassment), FoundersClick will take immediate preliminary protective action pending a full review;
- If additional information is required to complete a review, our team will contact the reporting member via their registered email address.
27.3 — Appeals Process
Members who believe a content removal or account action was made in error may submit a formal appeal. Appeals are subject to the following:
- Eligibility: An appeal may be submitted where content has been removed or account access or posting privileges have been restricted or suspended. Appeals are not available where enforcement action was taken pursuant to a legal or regulatory requirement, court order, or law enforcement request, or where the violation was repeated or egregious in nature.
- Submission: To submit an appeal, the member must provide a written explanation identifying the content or action being appealed, include any supporting information or context, and submit the appeal to support@foundersclick.com within 7 days of the enforcement action.
- Review & Determination: Appeals will be reviewed in good faith. FoundersClick may uphold, modify, or reverse the original enforcement action at its sole discretion. Decisions made following appeal review are final. FoundersClick does not guarantee reinstatement of content or restoration of account access.
- Editorial Discretion: FoundersClick exercises editorial and managerial discretion over its services and may curate, prioritise, demote, or remove content to protect its business, users, and legal interests. The exercise of such discretion does not constitute grounds for appeal.
27.4 — Good Faith Requirement
Members must submit complaints and reports in good faith and with honest belief that a violation has occurred. Submitting false, malicious, or bad-faith reports against other members may itself constitute a violation of these Terms and may result in disciplinary action against the reporting member.
27.5 — Third-Party Complaints
FoundersClick may act upon notices or complaints received from third parties, including but not limited to claims relating to intellectual property infringement, defamation, privacy violations, or unlawful conduct. Content may be removed or restricted pending investigation of such claims. FoundersClick is not obligated to mediate disputes between a member and a third-party complainant and retains sole discretion in determining the appropriate response.
27.6 — Non-Discrimination in Content Enforcement
FoundersClick does not remove, restrict, or moderate content based on a member’s personal characteristics, identity, viewpoints, or protected attributes. All enforcement actions are taken solely to apply these Terms, mitigate legal or reputational risk, and maintain a lawful, safe, and professional environment. Different enforcement outcomes may result from contextual evaluation, severity of the conduct, or risk assessment and do not constitute discrimination or unequal treatment.
27.7 — Preservation and Cooperation
FoundersClick may retain copies of removed content and associated user records for as long as reasonably necessary to comply with legal obligations, resolve disputes, or enforce its rights under these Terms. FoundersClick may cooperate with lawful requests from regulatory authorities, law enforcement, or rights holders, including disclosing retained content and records where required or permitted by applicable law.
28. Payment, Refund & Platform Downtime Policy
28.1 — Payments
All payments made on FoundersClick for premium memberships, services, courses, job postings, promotions, or other paid features are processed securely through our authorized payment processors. By completing a payment, you agree to the pricing and terms displayed at the time of purchase. All prices are listed in USD unless stated otherwise.
28.2 — Refund Policy
All payments made on FoundersClick are generally non-refundable. FoundersClick does not issue automatic refunds for any purchase, subscription, service, or feature accessed through the platform.
If you believe you have a valid reason for a refund — such as a duplicate charge, a technical error, or an exceptional circumstance — you may submit a refund request by emailing services@foundersclick.com with the following information:
- Your registered email address;
- The transaction ID or payment reference;
- A clear description of the reason for your refund request.
Our team will review your request, verify the details, and respond to you within 5 business days. Submission of a refund request does not guarantee approval. All refund decisions are made at the sole discretion of FoundersClick.
28.3 — Planned Downtime
FoundersClick strives to maintain high platform availability. When planned maintenance is required, we will provide at least 24 hours’ advance notice via platform announcements and/or email to registered members. Planned maintenance windows will be scheduled during off-peak hours wherever possible.
28.4 — Unplanned Downtime
In the event of unexpected outages or technical failures, FoundersClick will work to restore service as quickly as reasonably possible. Status updates will be communicated through our official channels. FoundersClick shall not be liable for any losses, damages, or missed opportunities resulting from unplanned downtime, including but not limited to outages caused by third-party infrastructure providers, cyberattacks, or force majeure events.
28.5 — Service Credit for Extended Downtime
Paid subscribers who experience platform unavailability exceeding 24 continuous hours due to causes within FoundersClick’s reasonable control may be eligible for a pro-rated service credit or an equivalent extension of service benefits for the affected duration, applied to the next billing cycle or subscription period. Service credits or extensions will not be provided for outages lasting less than 24 hours, outages caused by third-party services, member-side connectivity issues, scheduled maintenance, or events beyond FoundersClick’s reasonable control.
29. Professional Negligence & Service Non-Delivery by Members
FoundersClick facilitates connections between members seeking and offering professional services. When a member engages another member as a service provider for paid or agreed-upon services, the following terms apply.
29.1 — Service Provider Obligations
Members offering services through the platform are expected to:
- Deliver agreed-upon services within the timelines and scope communicated to the engaging member;
- Communicate promptly and professionally regarding any delays, changes, or issues that may affect delivery;
- Maintain the professional standards and qualifications represented in their profile.
29.2 — Reporting Non-Delivery
If a service provider fails to deliver a paid or agreed-upon service without a legitimate reason, the engaging member may file a formal complaint via support@foundersclick.com or using the Report function on the service provider’s profile or relevant content. Complaints will be reviewed in accordance with our 24-hour response commitment set out in Section 27.
29.3 — Platform Mediation
FoundersClick will endeavour to mediate disputes between members in good faith. However, FoundersClick is not a party to any agreement made between members and bears no legal or financial liability for the non-delivery, partial delivery, or poor delivery of services by any independent member or third party on the platform.
29.4 — Consequences for Repeated Non-Delivery
Service providers who are subject to multiple substantiated complaints of non-delivery or professional negligence may face the following actions at FoundersClick’s discretion:
- Formal warning and requirement to respond to outstanding obligations;
- Temporary restriction of service listing or profile visibility;
- Permanent suspension or termination of account.
29.5 — Member Responsibility
Members are strongly encouraged to exercise due diligence before engaging any service provider, including reviewing their profile, ratings, and history on the platform. FoundersClick does not verify credentials or guarantee outcomes of any service arrangement made between members.
30. California Compliance Addendum
Effective January 1, 2026
This California Compliance Addendum (“California Addendum”) supplements and forms part of FoundersClick’s Terms of Service, Acceptable Use Policy, and Content Moderation Policy (collectively, the “Terms”). This Addendum applies to users who access or use the Platform from California or whose content or data is subject to California law. In the event of a conflict between this Addendum and the Terms, this Addendum shall govern with respect to California users.
30.1 — Platform Discretion and Editorial Authority
FoundersClick retains the exclusive and final discretion to determine what content is hosted, displayed, restricted, demoted, labelled, or removed from the Platform in accordance with its Terms and applicable law. Nothing in this Addendum shall be interpreted to require the Platform to host or display any specific content, or to limit the Platform’s rights under Section 230 of the Communications Decency Act or similar intermediary protections. Content moderation decisions are exercised as part of the Platform’s lawful editorial and managerial discretion.
30.2 — Non-Discriminatory Enforcement
FoundersClick does not moderate, remove, or restrict content based on a user’s protected characteristics, identity, or viewpoint. Enforcement actions are taken solely to apply the Platform’s Inappropriate Content standards, mitigate risk, and maintain a lawful and professional environment. Different enforcement outcomes may result from contextual evaluation, severity, or risk assessment and do not constitute discrimination or unequal treatment.
30.3 — Artificial Intelligence and Synthetic Content
Consistent with California’s Artificial Intelligence Transparency Act (SB 942) and related legislation:
- The Platform may label, restrict, or remove content that is generated, altered, or manipulated using artificial intelligence where such content is misleading, deceptive, unlawful, or violates Platform policies;
- Users remain solely responsible for any AI-assisted or AI-generated content they post, including compliance with applicable disclosure requirements and applicable law; and
- The Platform may implement detection, labelling, or disclosure mechanisms for AI-generated media and may rely on such mechanisms when making content moderation decisions.
30.4 — Content Takedown and Appeals (California)
The Platform may remove or restrict content without prior notice where immediate action is required, including to prevent harm, comply with legal obligations, or protect Platform integrity or users. Where notice is feasible, users may submit an appeal in accordance with the Platform’s Appeals Process set out in Section 27.3. Appeals are reviewed in good faith; however, the Platform’s decision after review is final. California law does not require reinstatement of removed content, and nothing in this Addendum creates a right to publication or continued hosting.
30.5 — User Responsibility and Liability
Users acknowledge and agree that:
- They are solely responsible for all content they submit, including AI-generated or AI-assisted content;
- They bear all consequences arising from violations of the Platform’s content requirements; and
- They may be subject to legal, regulatory, civil, or criminal liability for unlawful or harmful content.
The Platform shall not be liable for user-generated content or for enforcement actions taken in good faith. This allocation of responsibility is consistent with California law clarifying that liability for AI-related or automated harms remains with human actors (AB 316).
30.6 — Privacy and Automated Decision-Making
In compliance with updated California Consumer Privacy Act (CCPA) regulations effective January 1, 2026:
- The Platform may use automated systems to assist with content moderation, ranking, or enforcement;
- Where required by applicable law, users may be provided notice regarding automated decision-making systems and an opportunity for human review; and
- The Platform may conduct risk assessments and audits related to content systems involving personal data.
30.7 — Account Termination and Deletion (California)
Users may request account deletion in accordance with applicable California law (AB 656). However:
- Content enforcement actions may be taken before or after a deletion request is submitted;
- The Platform may retain records as necessary for legal compliance, dispute resolution, or enforcement of its rights; and
- Deletion of an account does not negate prior violations or associated consequences.
30.8 — Data Breach Notification
In accordance with California law (SB 446), FoundersClick will notify affected California residents within 30 days of discovering a data breach involving their personal information, and will provide notification to the California Attorney General as required by applicable law.
30.9 — Cooperation with Authorities
The Platform may preserve and disclose content or user records where required by law or in response to valid legal requests from California regulators or law enforcement authorities.
30.10 — No Waiver
Failure to enforce any provision of the Terms or this California Addendum shall not constitute a waiver of the Platform’s rights to enforce such provision at a later time.
30.11 — Global Privacy Control and Opt-Out Preference Signals (AB 3048)
Effective January 1, 2026, California law (AB 3048) requires businesses to honor opt-out preference signals transmitted by a consumer’s browser or device, including the Global Privacy Control (GPC) signal. FoundersClick complies with this requirement as follows:
- If a California user’s browser transmits a recognized opt-out preference signal (such as GPC), FoundersClick will treat this as a valid request to opt out of the sale or sharing of that user’s personal information for cross-context behavioral advertising purposes;
- Users may also manually submit an opt-out request at any time by contacting services@foundersclick.com with the subject line “Opt-Out Request — Data Sale/Sharing”; and
- Honoring an opt-out signal will not result in denial of services or different treatment, as required by California law.
30.12 — Neural and Biometric Data (SB 1223)
Effective January 1, 2026, California law (SB 1223) classifies “neural data” — information generated by measuring or inferring activity of a user’s nervous system or brain — as sensitive personal information under the CCPA. FoundersClick does not intentionally collect neural data. However, to the extent any Platform features (including but not limited to profile picture processing, image analysis, or AI-assisted features) incidentally process data that may be classified as biometric or neural under California law:
- Such data is treated as sensitive personal information and is subject to the heightened protections applicable to sensitive PI under the CCPA/CPRA;
- Users have the right to limit the use and disclosure of sensitive personal information; and
- FoundersClick will not sell or share neural or biometric data with third parties without explicit user consent.
30.13 — AI Training Data and Transparency (AB 1008 & AB 2013)
Effective January 1, 2026, California law clarifies that the CCPA applies to personal information contained in or used to train artificial intelligence systems (AB 1008). Additionally, AB 2013 requires providers of AI systems deployed in California to publish documentation regarding training data sources. FoundersClick complies as follows:
- California residents have the right to request disclosure of whether their personal information was used to train any AI or automated decision-making system operated by or on behalf of FoundersClick, and to request deletion of their personal information from such training datasets where technically feasible;
- To the extent FoundersClick deploys AI or automated systems that process personal information of California users, such systems are subject to the same rights and obligations as other processing activities under the CCPA/CPRA; and
- FoundersClick will maintain and make available, upon request, documentation identifying the general categories of data used in any AI or automated content moderation or ranking systems, consistent with AB 2013 transparency requirements.
30.14 — Cybersecurity Audit and Risk Assessment (CPPA Regulations)
Pursuant to regulations issued by the California Privacy Protection Agency (CPPA) under the CPRA, FoundersClick is committed to maintaining appropriate cybersecurity practices for the personal information it processes. To the extent required by applicable CPPA regulations:
- FoundersClick conducts or arranges for regular cybersecurity audits of systems that process significant volumes of California residents’ personal information;
- FoundersClick performs documented risk assessments prior to implementing processing activities that involve automated decision-making, profiling, or processing of sensitive personal information that may present significant risk to California residents; and
- Records of such audits and risk assessments are maintained as required by the CPPA and may be submitted to the Agency upon request or as required by law.
By accessing or using FoundersClick from California, users acknowledge that content is moderated in accordance with Platform policies and applicable California law, and that the Platform retains final discretion over what content is displayed.
