DMCA Copyright Policy

DIGITAL MILLENNIUM COPYRIGHT ACT — NOTICE & TAKEDOWN POLICY

1. Our Commitment to Intellectual Property Rights

FoundersClick respects the intellectual property rights of others and expects all users of the platform to do the same. It is the policy of FoundersClick to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"), and to terminate the accounts of users who are determined to be repeat infringers of intellectual property rights in appropriate circumstances.

FoundersClick operates as an online service provider within the meaning of 17 U.S.C. § 512(k)(1)(B) and qualifies for the safe harbor protections provided under the DMCA. While FoundersClick does not actively monitor all user-generated content for copyright compliance, it responds expeditiously to valid takedown notices submitted in accordance with this policy.


2. Designated DMCA Agent

In accordance with the Digital Millennium Copyright Act, FoundersClick has registered a Designated Agent with the U.S. Copyright Office to receive notifications of claimed copyright infringement. All formal DMCA notices must be directed to our Designated Copyright Agent as follows:

3. How to Submit a DMCA Takedown Notice

If you believe that content hosted on FoundersClick infringes your copyright, you may submit a formal takedown notice to our Designated Copyright Agent. To be valid under 17 U.S.C. § 512(c)(3), your notice must include all of the following elements:

  1. Identification of the copyrighted work — A description of the copyrighted work that you claim has been infringed, or, if multiple works are covered by a single notification, a representative list of such works.
  2. Identification of the infringing material — A description of the material that you claim is infringing and information reasonably sufficient to permit FoundersClick to locate it on the platform (e.g., the specific URL or page where the content appears).
  3. Your contact information — Your full name, mailing address, telephone number, and email address so that FoundersClick may contact you regarding your notice.
  4. Statement of good-faith belief — A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  5. Statement under penalty of perjury — A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
  6. Signature — A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

4. FoundersClick's Response to Valid Takedown Notices

Upon receipt of a valid and complete DMCA takedown notice, FoundersClick will, in accordance with 17 U.S.C. § 512:

  • Expeditiously remove or disable access to the allegedly infringing content;
  • Notify the user who posted the content that their material has been removed or disabled; and
  • Provide the user with a copy of the takedown notice and information regarding their right to submit a counter-notification.

FoundersClick reserves the right to determine, in its sole discretion, whether a notice is valid and compliant with the DMCA before taking any action. FoundersClick has no obligation to restore content that has been removed in response to a valid takedown notice.


5. DMCA Counter-Notification Procedure

If you are a user whose content was removed or disabled in response to a DMCA takedown notice and you believe the removal was the result of a mistake or misidentification of the material, you may submit a formal counter-notification to our Designated Copyright Agent. Your counter-notification must include:

  1. Your physical or electronic signature;
  2. Identification of the removed content and the location at which it appeared before removal (e.g., the URL where it was accessible);
  3. Statement of good-faith belief — A statement under penalty of perjury that you have a good-faith belief that the content was removed or disabled as a result of a mistake or misidentification;
  4. Your contact information — Your full name, mailing address, and telephone number; and
  5. Consent to jurisdiction — A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which FoundersClick may be found), and that you will accept service of process from the person who provided the original takedown notice or their agent.

Upon receipt of a valid counter-notification, FoundersClick will notify the original complainant of the counter-notification and may restore the removed content within 10–14 business days, unless the complainant files a court action seeking to restrain the user from infringing activity prior to that time.


6. Repeat Infringer Policy

FoundersClick maintains a strict policy regarding repeat copyright infringers. In accordance with 17 U.S.C. § 512(i), it is the policy of FoundersClick to terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of copyright or other intellectual property rights.

FoundersClick reserves the right to define "repeat infringement" in its sole discretion and to take action — including permanent account termination — without prior notice to the user. A user need not be found liable in a court of law for FoundersClick to take action under this policy.


7. Safe Harbor Statement

FoundersClick qualifies for the safe harbor protections provided under 17 U.S.C. § 512 as an online service provider that stores content at the direction of users. FoundersClick does not receive a financial benefit directly attributable to infringing activity, does not have actual knowledge of specific infringing material except as identified through valid DMCA notices, and acts expeditiously to remove or disable access to infringing material upon receiving proper notice.

Nothing in this policy shall be construed to limit FoundersClick's rights or remedies in any way with respect to copyright infringement. FoundersClick expressly reserves all rights and remedies available to it under applicable law.
